By accessing or using our services, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.

2. Definitions

• “Service” refers to Black Book's platform, including all features, functionalities, and user interfaces
• “User” refers to any licensed real estate agent who accesses or uses the Service
• “Information” refers to property listings, buyer requirements, and other content shared by Users through the Service
• “Transaction” refers to any real estate transaction that may result from connections made through the Service

3. Agent Network Disclaimer

Black Book is exclusively a networking platform for licensed real estate agents. We do not:

• Participate in, broker, or facilitate any real estate transactions
• Provide real estate brokerage services of any kind
• Represent buyers, sellers, or any parties to a transaction
• Handle any funds, escrow, or payments related to real estate transactions
• Provide legal, financial, or tax advice regarding real estate transactions

All transactions that may result from connections made through our platform are handled entirely by the licensed real estate agents involved, in accordance with applicable laws and regulations.

4. Eligibility & Account Requirements

To use the Service, you must:

• Be a licensed real estate agent or broker in good standing
• Provide accurate and complete information during registration, including your current license number and brokerage affiliation
• Maintain the accuracy of your account information
• Be at least 18 years old
• Agree to undergo our verification process

We reserve the right to verify your credentials at any time and suspend or terminate accounts that fail to meet these requirements.

5. User Responsibilities

As a User of the Service, you agree to:

• Comply with all applicable real estate laws and regulations
• Obtain all necessary permissions before sharing property information
• Accurately represent properties and buyer requirements
• Handle all aspects of any transactions that may result from connections made through the Service
• Maintain appropriate professional licenses and insurance
• Pay any applicable fees to Black Book as outlined in our fee schedule

6. Transaction Disclaimer

Black Book expressly disclaims any responsibility for:

• The accuracy or completeness of information shared by Users
• The outcome of any real estate transaction
• Disputes between agents, their clients, or other parties
• Compliance with real estate laws and regulations by Users
• Property conditions, valuations, or representations

Users are solely responsible for conducting appropriate due diligence, verifying information, and ensuring compliance with all applicable laws and regulations.

7. Beta Status

Black Book is currently in beta testing. By using the Service, you acknowledge:

• The Service may contain bugs, errors, or limitations
• Features may change significantly before final release
• We may terminate the beta program at any time
• Your feedback may be used to improve the Service

We appreciate your participation in helping us build a better platform for real estate professionals.

8. Limitation of Liability

To the maximum extent permitted by law, Black Book and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any real estate transaction or attempted transaction
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount you have paid to us in the past twelve months.

9. Indemnification

You agree to defend, indemnify, and hold harmless Black Book and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any privacy right or property right
• Any real estate transaction or attempted transaction resulting from connections made through the Service
• Any claim that your content caused damage to a third party

10. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Service after any such changes take effect constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
